The terms "we", "us", and "Pepper^®" refer to J.W. Pepper & Son^®, Inc. "You" refers to users of the Site and the Crescendo Rewards Program ("Program"). We reserve the right to change these terms, conditions and notices, and you agree to accept and be bound by those terms, conditions, and notices that are in effect at the time of your use of our Program and website (the "Terms").

Please take a few minutes to review these. Your enrolling or participating in the Program constitutes your agreement to follow these Terms and to be bound by them and your agreement that the Terms apply to the use and administration of the Program and, specifically, to all aspects of your participation in the Program. If you do not agree with any of these Terms, or you are under the age of 18, you may not use the Site and you must exit immediately.

Pepper^® may suspend or terminate your account and/or your ability to use the websites located at www.jwpepper.com or www.pianoatpepper.com ("Site") or any services on the Site for failure to comply with these Terms, for providing Pepper^® with untrue or inaccurate information about yourself, for infringement upon Pepper^®'s proprietary rights, or for any other reason whatsoever or for no reason.

The Program allows individuals to contribute reward units ("Rewards"), at no cost to them, to a specified music organization. Both the contributor and recipient music organization ("Recipient") must have accounts set up with Pepper^® in order to participate in the Program. The Program can be used by the Recipient to lower the cost of future orders.

1. PROGRAM REGISTRATION AND GUIDELINES.
a. Contributing Rewards

Any individual who has completed the registration form on the Site ("Contributor"), when buying select products from Pepper^®, may contribute Rewards to a Recipient. Contributor must indicate a desired Recipient at the time an order is placed. Pepper^® shall associate a unique code with each Recipient music organization. Recipients will earn a U.S. dollar equivalent reward for every qualifying purchase made at Pepper^® where its account is specified. Rewards will accumulate at the rate of 5% of the subtotal amount of select products on the order purchased via a credit card, minus any coupons or other savings received. Select items included in the Program are designated as such on our Site. Pepper^®'s customer service staff can also supply this information upon request. The Rewards balance for the Recipient will increase and decrease, reflecting purchases and returns containing the Recipient's unique Rewards code. Rewards cannot be earned on sales tax, reward redemptions, prior purchases, gift cards, returned merchandise or for items paid for in cash or placed on a billing account.

Rewards: (i) become available on the Recipient's account when the order is processed; (ii) can be redeemed online for select merchandise only by Recipients as offered on the Site; (iii) must be used at the time of purchase; and (iv) may not be redeemed for gift cards or store credit. Merchandise purchased within the Rewards program may be returned and the Rewards balance will be duly adjusted.

You may be required to provide Pepper^® with certain information about yourself including some types of personally identifying information such as your email, address and phone number. You may terminate your registration at any time by contacting us at satisfaction@jwpepper.com.

You may also receive opportunities to earn bonus Rewards through special offers and promotions. These special offers and promotions include but are not limited to: (i) purchases made during special dates or times; (ii) attending specially designated events; or (iii) purchasing specially designated products.

b. Redeeming Rewards

Recipients can be any school, church or community music organization with a Pepper^® billing account. Recipients are eligible to accumulate Rewards on their account through participation in the Program. Each Recipient will have a unique code, provided by Pepper^®, to identify contribution and redemption of Rewards. There is no limit on the amount of Rewards a Recipient can accumulate and there is no charge to Recipients for enrollment and participation in the Program.

Certain exclusions may apply. All Rewards expire 3 years after the date of the Contributor's purchase, or upon termination by Pepper^®, whichever is sooner. Rewards must be redeemed through online ordering. Rewards may be redeemed only for a select group of products, which are found in an online catalog that may contain music accessories, software and resource materials. Rewards are redeemed when the Recipient indicates the dollar equivalent amount they wish to apply to an order, at the time the order is placed. Rewards are treated as a payment type, and are tracked in the account's order history. Shipping and handling is calculated at the full price of the order, regardless of Rewards being used as a payment type. Rewards can be used to pay for redeemable items only. Recipients are responsible for taxes, shipping and handling charges, or other liabilities related to or resulting from participation in the Program.

Recipient must not be delinquent in payments to Pepper^® in order to participate in the Program. Unethical or fraudulent use of the Program will cause Recipient to be removed from the Program, will cause forfeiture of all Rewards, and may result in legal action.

c. Additional Rules

Rewards are not redeemable for cash, have no value other than as set forth in this Agreement, and may not be sold, bartered, or exchanged. Any Recipient or Contributor benefits do not create any property rights in favor of Recipient or Contributor. Recipients and Contributors are responsible for notifying Pepper^® of any changes in contact information. Pepper^® reserves the right to make Rewards and promotional offers available to select Contributors and Recipients based on purchase activity, geographic location, program participation or information supplied by the Contributor or Recipient.

2. CONTRIBUTOR AND RECIPIENT PRIVACY.

By becoming a Contributor or Recipient of the Program, you agree to receive advertising, marketing materials, and other communications from Pepper^® and its affiliates. Your personal information will be held in accordance with the Pepper^® Privacy Policy, which is incorporated into these Terms by reference, as if fully set forth herein and can be found at jwpepper.com/sheet-music/privacy.jsp

3. MODIFICATION AND TERMINATION.

Pepper^®, in its sole discretion, reserves the right to prohibit any Contributor or Recipient from participation in the Program. Pepper^® may change, limit or terminate the Program, this Agreement, any Reward levels, (even if such change affects the value of Rewards already accumulated) or any features of the Program in its sole discretion with immediate effect with or without notice. Continued use of Contributor's or Recipient's benefits constitutes acceptance of the then-current terms and conditions of the Program. If Pepper^® discontinues the Program for any reason, Pepper^® shall post a notice on the Site at least 30 days prior to the end of the Program. Upon discontinuation or termination of the Program, Contributor or Recipient shall forfeit all unredeemed Rewards as of the termination date. Notwithstanding the foregoing, in Pepper^®'s discretion, Pepper^® may honor Program benefits after the termination date. Contributors or Recipient may choose to opt out of the Program at any time as noted herein; however, this may result in the forfeiture of Rewards. Contributors or Recipients may opt out by visiting the Site and requesting their Rewards account be closed or by contacting Pepper^® at J.W. Pepper & Son^®, Inc., Customer Service, P.O. Box 850, Paoli, PA 19301.

4. NO WARRANTY, DISCLAIMERS.

TO THE EXTENT PERMITTED BY LAW, PEPPER EXPRESSLY DISCLAIMS AND MAKES NO WARRANTY, EXPRESS OR IMPLIED, WRITTEN OR ORAL, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR QUALITY WITH RESPECT TO THE PROGRAM OR ANY PRODUCTS OR SERVICES RELATED THERETO, AND THE PROGRAM, INCLUDING ANY CONTENT, PRODUCTS, OR SERVICES PROVIDED VIA THE PROGRAM, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS "WITH ALL FAULTS".

Pepper^® is not responsible for communications, including but not limited to Reward balances which are lost, delayed or misdirected in the mail, e-mail or otherwise during transit. Pepper^® assumes no responsibility for errors caused by incorrect Contributor or Recipient name or address information. The issuance of Rewards is final except in the event that the Reward has been issued in error. Expired and unused Rewards may not be replaced.

5. LIMITATION OF LIABILITY.

PEPPER SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, EXTRA-CONTRACTUAL, OR PUNITIVE DAMAGES OF ANY KIND WHATSOEVER, INCLUDING LOST OR ANTICIPATED REVENUES OR LOST OR ANTICIPATED PROFITS, WHICH MAY OR DOES RESULT FROM THE PROGRAM, OR ANY MATERIALS ON AND IN AND MADE AVAILABLE THROUGH THE SITE, REGARDLESS OF LEGAL THEORY, WHETHER OR NOT YOU OR PEPPER HAVE BEEN ADVISED OF THE POSSIBILITY OR PROBABILITY OF SUCH DAMAGES, AND EVEN IF THE REMEDIES OTHERWISE AVAILABLE FAIL OF THEIR ESSENTIAL PURPOSE. UNDER NO CIRCUMSTANCES WILL THE TOTAL LIABILITY OF PEPPER TO YOU OR ANY OTHER PERSON OR ENTITY IN CONNECTION WITH, BASED UPON, OR ARISING FROM THE PROGRAM, THE SITE, OR THE SERVICES, INFORMATION, OR PRODUCTS OFFERED IN CONNECTION THEREWITH EXCEED THE AMOUNT PAID BY YOU TO PEPPER DURING THE PRECEDING THREE MONTHS. SOME STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. IF ANY PART OF THIS LIMITATION ON LIABILITY IS FOUND TO BE INVALID OR UNENFORCEABLE FOR ANY REASON, THEN THE TOTAL LIABILITY OF PEPPER SHALL NOT EXCEED TEN DOLLARS ($10). If you are dissatisfied with the Program, or with any of these Terms, your sole and exclusive remedy is to discontinue using the Program.

6. GOVERNING LAW.

This Agreement shall be governed by and construed under the substantive laws of the Commonwealth of Pennsylvania, without reference to conflict of laws considerations. Pepper^® and You agree that any dispute, claim, or controversy arising from or relating to this Agreement or the Program shall be resolved by the District Court for the Eastern District of Pennsylvania, or the Court of Common Pleas of Chester County, Pennsylvania.

7. MISCELLANEOUS.

The waiver or failure of Pepper^® to exercise in any respect any right provided hereunder shall not be deemed a waiver of such right in the future or a waiver of any of other rights established under these Terms. Headings used in these Terms are for reference only and shall not affect the interpretation of these Terms. When used herein, the words "includes" and "including" and their syntactical variations shall be deemed followed by the words "without limitation." The Program is void where prohibited by law. If any state requires a special license, bonding, permit or other governmental or regulatory approval for the Program, the Program will be void in that state.
